Course Description
Critical legal issues relating to information technology (IT) and its application in B2B and B2C business transactions will be examined mainly in a trans-national context and in the light of the challenges arising in the borderless nature of the cyberspace. Issues covered includes jurisdiction and applicable law for online transactions, electronic contracts and agents, click-wrap agreements, intellectual property rights, virtual enterprises and domain names, online privacy and data protection, electronic payment systems and taxation, liability of online intermediaries, online consumer protection, cyber-crime and online dispute resolution. Emerging legal developments and specific national laws and cases will be studied using comparative methods.
Intended Learning Outcomes
CILO-1: Students will be able to identify the constantly evolving information technology applications in business transactions and determine relevant legal issues and challenges facing information technology and e-commerce.
CILO-2: Students will be able to recognize the conflict of law concerns in carrying out cross-border e-commerce transactions and point out relevant jurisdiction and applicable laws governing the transactions.
CILO-3: Students will be able to indicate various contractual questions facing e-commerce and appraise relevant contractual terms arising in online and automated contract formation, and to predict the threats to intellectual property rights arising in information technology and e-commerce and devise necessary legal safeguards and preventive measures.
CILO-4: Students will be able to describe the compliance requirements arising out of regulatory standards governing information technology and e-commerce including data protection, use of artificial intelligence, online advertisements and consumer protection, and to illustrate risks of liabilities and cybercrimes facing use of information technology and online transactions and recognize various dispute resolution concerns and methods including ODR.
