Course Description
This course introduces the legislative system and commercial law in Macao. Topics include liability of commercial contracts, product liability and compensation, forms and liability of agents, legislation concerning limited liability companies, share limited companies and group corporations, commercial instruments, carriage of goods and insurance and commercial arbitration.
Intended Learning Outcomes
CILO-1: Explain the main characteristics of the legal system of Macao SAR operating under the “one country, two systems” principle.
CILO-2: Differentiate the concepts of legal personality, legal capacity, and business capacity and their legal implications in the context of contractual law and civil liability.
CILO-3: Identify the relationship between general principles of contract law and the specific rules governing civil and commercial contracts.
CILO-4: Characterize the main features of different types of companies under the company law of Macao SAR.
CILO-5: Identify the rights and duties of the shareholders and the role of the major organs of private and public companies.
